Article 1 Definitions
In these general terms and conditions, the following definitions apply:
Entrepreneur:
Gemira
Chamber of Commerce number 82759510
VAT number NL003725692B96
Email info@gemira.nl
Consumer: the natural person who is not acting in the exercise of a profession or business
Agreement: the purchase agreement between the entrepreneur and the consumer
Article 2 Applicability
These general terms and conditions apply to every offer made by the entrepreneur and to every agreement concluded between the entrepreneur and the consumer. Deviations are only valid if agreed upon in writing.
Article 3 The offer
All offers are without obligation, unless stated otherwise. The entrepreneur is entitled to change and adjust the offer. Prices include VAT and exclude shipping costs, unless otherwise indicated. Apparent mistakes in the offer do not bind the entrepreneur.
Article 4 The agreement
The agreement is concluded at the moment the consumer accepts the offer and fulfills the conditions set forth therein. The entrepreneur confirms the order by email. If the order is accepted electronically, the entrepreneur immediately confirms receipt thereof.
Article 5 Right of withdrawal
The consumer has the right to dissolve the agreement without giving reasons for 14 days. This cooling-off period starts the day after the consumer has received the product.
During the cooling-off period, the consumer may examine and try out the product as would be possible in a physical store. The consumer is liable for any diminished value of the product resulting from handling the product in a way that goes beyond what is necessary to establish its nature and characteristics.
If the consumer wishes to exercise the right of withdrawal, they must notify this within the cooling-off period via info@gemira.nl. The product will then be returned as soon as possible, and no later than 14 days after this notification, in the best possible condition.
The direct costs of returning the product are for the account of the consumer, provided the consumer has been informed of this prior to the purchase.
After dissolution, the entrepreneur will refund all payments received from the consumer, including standard shipping costs, within 14 days. The entrepreneur may wait with repayment until the product has been received back, or until the consumer has demonstrated that they have returned the product.
The right of withdrawal does not apply to products that are custom-made or clearly personalized for a specific person, nor to sealed products that are not suitable for return for health or hygiene reasons and whose seal has been broken after delivery.
Article 6 Payment
Payment takes place in advance via the payment methods offered on the website. Orders will only be processed after full payment has been received. The entrepreneur is entitled to refuse or cancel an order if payment is not made.
Article 7 Delivery and execution
The entrepreneur will exercise the greatest possible care in the execution of orders. The delivery time is indicatively 1–3 working days after receipt of payment, unless otherwise agreed.
The entrepreneur will deliver within 30 days at the latest, unless a different term has been agreed. If an order is not delivered within the agreed or legal term, the consumer can set the entrepreneur a reasonable additional term. If delivery still does not occur, the consumer has the right to dissolve the agreement. The mentioned delivery times are an indication and not a strict deadline; the legal rights of the consumer remain fully applicable.
Article 8 Conformity and guarantee
The entrepreneur guarantees that the products comply with the agreement, the specifications stated in the offer, and the reasonable requirements of soundness and usability. The consumer is entitled to a product that meets what they can reasonably expect under the agreement (statutory conformity).
This statutory guarantee is separate from the cooling-off period in Article 5. If a product shows a defect, the consumer should contact us as soon as possible via info@gemira.nl, stating the order number and providing photos of the defect. The entrepreneur assesses each situation individually and offers an appropriate solution where necessary.
Article 9 Retention of title
The delivered products remain the property of the entrepreneur until the consumer has fully fulfilled all payment obligations.
Article 10 Liability
The entrepreneur is liable for direct damage resulting from an attributable shortcoming. To the extent legally permissible, liability for indirect damage, including consequential damage, loss of profit, and missed savings, is excluded, and liability is limited to the invoice amount of the relevant order.
The limitations and exclusions in this article do not apply in cases of intent or deliberate recklessness on the part of the entrepreneur, in case of personal injury, and in all other cases where exclusion or limitation of liability is not legally permitted, including product liability. The legal rights of the consumer remain fully applicable.
Article 11 Complaints
Complaints about the execution of the agreement must be submitted to the entrepreneur via info@gemira.nl within a reasonable time, fully and clearly described. The entrepreneur will respond to complaints within 14 days of receipt.
If the entrepreneur and the consumer cannot reach a mutual agreement, the consumer can submit the dispute to the competent court. The entrepreneur is not affiliated with a dispute resolution committee.
Article 12 Disputes
Agreements between the entrepreneur and the consumer are exclusively governed by Dutch law. Disputes will be submitted to the legally competent court.
